In this agreement, the party who is contracting to receive services shall be referred to as “Client,” and the party who will be providing the services shall be referred to as Regina Noel/Online Support Services.  

The Client desires to have services provided by Regina Noel/Online Support Services. Therefore, the parties agree as follows:

Description of Services

Regina Noel/Online Support Services will provide the services listed.

Timeline 

Due to the nature of my business providing workflow and projects for many clients I schedule my calendar to provide the best service possible and may not be able to rush work or respond immediately.  Regina Noel/Online Support Services shall respond to communication requests in a timely manner within 48hrs unless otherwise agreed upon by both parties. 
The client recognizes that the responsibility for the delivery of necessary assets is the responsibility of the client.  Failure to do so is not a requirement of Regina Noel/Online Support Services to extend the timeline beyond 6 weeks from payment.   

Copyright

The Client will own the copyright for all material created under this agreement, and Regina Noel/Online Support Service can showcase sample works from this project as portfolio pieces only with consent and approval from the client.  

Payment  

I understand that it is my responsibility to provide the media necessary (if any) as required to complete projects and any delay that causes the project to be over 6 weeks may be subject to additional charges or result in the delivery in a 'white box' fashion for the client to complete as needed.  Loom tutorials will be supplied.  

Relationship of Parties

It is understood by both parties that the Consultant is an Independent Contractor and is not an employee of the Client. The Client will not provide benefits, including health insurance, paid vacation, or any other Employee benefit for the Consultant. The Consultant is also responsible for her own taxes and other withholdings from her payments.

Confidentiality

Regina Noel/Online Support Services recognizes that the Client has and will have the following proprietary information:

Products

Prices

Costs

Discounts

Future plans

Client database

Business Affairs

Personal information

Other information (collectively “Information”) which are valuable, special, and unique assets of the Client. Regina Noel/Online Support Services not to, at any time or in any manner, either directly or indirectly, use any Information for Consultant’s own benefit, or divulge, disclose, or communicate in any manner any information to any third party without the prior written consent of the Client. Regina Noel/Online Support Services will protect the Information and treat it as strictly confidential. 

Return of Records

Upon termination of this Agreement, the Consultant shall deliver and/or delete all data, memoranda, models, and equipment of any nature that are considered security or privacy concerns that are the Client’s property or relate to the Client’s business. 

Entire Agreement

This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement, whether oral or written. This Agreement supersedes any prior written or oral agreement between the parties. 

Amendment

This Agreement may be modified or amended if the amendment is made in writing and signed by both parties.

Applicable Law

This Agreement shall be governed by the laws of the State of Massachusetts.
